This Online Operations Compensation Agreement (the “Agreement”) is made and entered into as of February 23, 2026(the “Start Date”), by and between:
NovaLab Peptides LLC, represented by Yair Shalev (the “Company”), and
Paginas Web Argentina, represented by Gianluca Funes (the “Contractor”).
The Contractor shall provide ongoing premium support and management for the Company’s online business operations, on an as-needed basis, including areas such as:
website management and adjustments,
online marketing analysis and strategy,
digital funnels and conversion improvements,
hosting-related technical support, and
online business/financial operational analysis.
The parties acknowledge that the Contractor’s service is a flexible, high-availability support service (not a fixed-hours service), and is intended to cover the Company’s online operations in a broad and practical manner.
The Contractor will provide services with reasonable ongoing availability, based on the needs of the Company.
This Agreement is not based on fixed working hours.
The Contractor will generally be available when needed, with the understanding that weekend (Saturday/Sunday) availability may be reduced, while still providing support to the extent reasonably possible.
Unless otherwise agreed in writing, this Agreement does not create exclusivity.
The Contractor shall receive a guaranteed base compensation of USD $250 per week, paid weekly.
In addition to the compensation structure described herein, the Contractor’s weekly compensation shall be calculated as follows:
The Contractor shall be paid the greater of:
USD $250 (Base Compensation), or
2% of Net Online Revenue (as defined below).
For the avoidance of doubt, weekly compensation is not calculated as “base + 2%.” It is whichever amount is greaterfor that week.
For purposes of this Agreement, “Net Online Revenue” means:
Total Online-Generated Sales
minus
direct paid advertising and traffic acquisition costs used to generate those sales.
The following costs are included as deductible direct traffic acquisition costs, to the extent they are directly tied to generating online sales:
Meta (Facebook / Instagram) Ads
Google Ads
Reddit Ads
TikTok Ads
Paid influencer campaigns
Any other paid traffic source directly tied to generating those sales
The following costs are not deducted from Net Online Revenue:
software or tools,
subscriptions,
freelancers or contractors,
design or content creation time,
operational or overhead expenses, and
any other non-direct traffic acquisition costs.
The following are considered Online-Generated Sales for purposes of compensation:
website purchases,
social media lead conversions,
paid advertising conversions,
email marketing and SMS sales,
funnel or landing page conversions, and
any sale originating from digital channels managed by the Contractor.
The following are excluded from commission calculations and are not considered Online-Generated Sales unless otherwise mutually agreed in writing:
walk-in customers,
personal referrals,
offline sales closed directly by Yair,
dealership or existing network relationship sales, and
any sale not originating from digital marketing channels managed by the Contractor.
The parties agree to maintain weekly transparency regarding revenue and advertising spend used for the calculation of compensation.
Revenue and advertising spend will be tracked and reviewed weekly.
Both parties will have reasonable visibility into the numbers used for compensation calculations.
Weekly compensation will be calculated based on the agreed formula in this Agreement.
If any sale classification is unclear (included vs. excluded), both parties agree to review it in good faith and apply a reasonable classification consistent with this Agreement.
Payments shall be issued weekly in United States Dollars (USD).
The parties may mutually agree on the payment method (e.g., bank transfer, Wise, PayPal, or another method). Unless otherwise agreed, each party shall be responsible for its own bank/platform fees on its side.
The Contractor is and shall remain an independent contractor. Nothing in this Agreement shall be construed to create an employment relationship, partnership, joint venture, or agency relationship between the parties.
The Contractor is solely responsible for its own taxes, filings, and legal obligations in its jurisdiction.
The Contractor will provide professional, best-effort services and strategic/operational support. However, the Contractor does not guarantee specific sales results, profit levels, ROAS, or business outcomes, as performance depends on multiple factors outside the Contractor’s direct control.
During the term of this Agreement, each party may receive non-public business, operational, marketing, technical, or financial information from the other party.
Each party agrees to:
keep such information confidential,
use it only for purposes of performing under this Agreement, and
not disclose it to third parties except as reasonably necessary to perform services (and under appropriate confidentiality expectations) or as required by law.
This clause shall survive termination of this Agreement.
This Agreement begins on the Start Date and continues until terminated by either party.
Either party may terminate this Agreement at any time by providing 7 days’ prior written notice to the other party.
Upon termination:
the Company shall pay all compensation properly earned and due through the effective termination date, and
the parties shall cooperate in good faith on a reasonable handoff of active online operations items, if applicable.
This Agreement represents the entire agreement between the parties regarding the subject matter hereof and supersedes prior oral or written understandings related to compensation for the services described herein.
Any modification to this Agreement should be made in writing and acknowledged by both parties.
The parties acknowledge that this Agreement is intended to formalize an existing working relationship in a clear and practical way. The parties agree to interpret and apply this Agreement in good faith, with the goal of avoiding misunderstandings and maintaining operational alignment.
